Paid in Sats is operated by Cogmentis Ltd, registered in England and Wales, company no. 6508060, registered office 18 Cherrywood, Northfleet, DA11 8PL, UK; VAT registration 942 3888 92. "We", "us" and "our" mean Cogmentis Ltd.
Paid in Sats is a technical software service. It creates payment requests and orchestrates settlement through a third-party Cashu mint to a Lightning address you control. It is not a bank, a payment institution, an e-money issuer or a registered cryptoasset business; it does not take custody of funds at rest and cannot reverse settled payments. We are not a party to the sale between you and your customer.
The service is supplied for business use: by using it you confirm you act in the course of a business, which includes self-employment and sole trading, and not as a consumer.
Your account credential is a twelve-word phrase generated in your browser. We never receive it and cannot recover it; anyone who has the words has the account. Keeping them safe is your responsibility, and there is no reset. The same goes for your Lightning wallet and the devices you sign in from.
Our fee is 1% per payment, taken out of the payout (your customer always pays the sticker price), capped at around USD 25 per calendar month. The cap is approximate: it applies as each payment is created, so simultaneous payments can finish a month slightly over it. The fee is collected as ecash locked to our key, together with any small settlement change, and is inclusive of any applicable VAT.
Payments settle through a Cashu mint that we do not operate. Value passes through the mint transiently between your customer's payment and the payout to your Lightning address; the mint's availability and conduct are outside our control.
The service is for lawful commerce only. It must not be used by or for the benefit of sanctioned persons, or to sell anything unlawful. We may suspend or disable links, tip jars or Lightning address handles that break these terms or the handle policy shown when claiming a name.
You are responsible for the accuracy of your payout Lightning address, and for your own taxes, accounting and any anti-money-laundering or other obligations that apply to your business.
The service is provided as it is and as available, without a service-level guarantee. Software contains defects: we do not promise that the service will be uninterrupted, error-free or free of vulnerabilities, and all warranties, conditions and other terms implied by law (including satisfactory quality and fitness for a particular purpose) are excluded to the fullest extent the law permits. Features may change, and we may discontinue the service with reasonable notice. In-flight payments are retried until they settle wherever that is possible.
We are not liable for loss of profits, revenue, business, goodwill or data, for business interruption, or for indirect or consequential loss of any kind, whether any of these arise directly or indirectly. We are not liable for losses caused by the mint, your Lightning wallet or any other third party, or by events outside our reasonable control. Our total liability to you, however arising, is capped at the fees you paid us in the twelve months before the claim arose. Nothing in these terms excludes or limits liability for fraud, for death or personal injury caused by negligence, or for anything else that cannot lawfully be excluded or limited.
We may update these terms; changes are posted here and notified on the dashboard. Continued use after a change accepts the updated terms.
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
